Referring Business Agreement

This Referring Business Agreement (“Agreement”) outlines the expectations, responsibilities, and legal boundaries between Southern Seoulutions Consulting, LLC (“SSC”) and any third-party business entity ("Referring Partner", “you”, or “your”) receiving referral leads from SSC’s operational infrastructure.

Purpose

SSC serves as a backend referral and compliance hub. This Agreement governs how referral data is transmitted and handled, and it ensures that Referring Partners uphold the standards and integrity of SSC’s ecosystem.

Responsibilities of the Referring Business

By accepting a lead from SSC, you agree to:

Use referral data solely for fulfilling the inquiry or service request initiated by the user.
Keep user information confidential, secure, and limited to authorized team members.
Provide accurate service representations, including pricing, scope, and capabilities.
Operate transparently, complying with applicable consumer protection and advertising laws.
Disclose your own Privacy Policy and Terms of Use before collecting further data or proceeding with service delivery.

You may NOT:

Use referral information for unsolicited marketing or future promotions without explicit opt-in consent.
Sell, trade, lease, or share referral data with third parties.

Misrepresent SSC or imply any form of co-ownership, endorsement, or joint service provision.
Hold SSC liable for any part of your user engagement, pricing model, or service quality.

Data Compliance Requirements

You are required to comply with all applicable data protection and communication laws, including but not limited to:

General Data Protection Regulation (GDPR)
California Consumer Privacy Act (CCPA)
CAN-SPAM, TCPA, and other consent-based marketing rules

Additionally:

All SMS opt-in data must not be repurposed or disclosed.
You must offer users a clear opt-out mechanism for future communication.
Data must be stored securely and deleted upon user request or once the business need expires.

Limitation of Liability

SSC functions strictly as a lead generator and does not oversee, control, or monitor Referring Partner conduct. Therefore:

SSC is not liable for any customer complaints, disputes, financial claims, or legal action resulting from your business conduct.
You agree to indemnify and hold harmless SSC against all claims or damages that arise from your use of SSC referral data or any engagement with the referred user.
You accept full responsibility for service delivery, compliance, and customer care.

Termination

This agreement may be terminated by either party at any time with written notice. Upon termination:

You must immediately cease using any referral data received through SSC.
Any data in your possession must be securely deleted or anonymized in accordance with applicable laws.
Unresolved disputes or user claims will remain your sole responsibility.

Acknowledgment

By continuing to receive referrals from SSC, you agree to the terms outlined in this Agreement and acknowledge your role as an independent service provider responsible for legal compliance and ethical conduct.
